As an advisor in merger and acquisition transactions (principally on behalf of the selling party), RMHA is retained by both domestic and foreign clients, and frequently called upon by the investment banking community to provide assistance to its clients.  In addition, many assignments arise from referrals from former clients as well as from professionals with whom RMHA has worked at leading accounting and law firms.

 

RMHA provides its clients with a sophisticated and broad expertise, based upon its extensive transaction experience, in order to tailor the most effective strategy, including such matters as:

 

1. Identifying desirable transaction partners.

2. Assessing alternative deal structures and related tax and/or accounting ramifications.

3. Evaluating unique personnel issues.

4. Developing a predictive market value.

5. Drafting the disclosure materials which present the business in both a compelling and accurate manner.

6. Conducting negotiations so as to elicit the optimum results but in a fashion which preserves the good will of the marketplace.

7. Orchestrating the due diligence and documentation stages of a project to ensure that the transaction closes on the basis contemplated by the parties.

 

RMHA on occasion also is retained as a “buy-side” advisor by acquisitive clients which request the firm’s assistance regarding a particular acquisition opportunity, commencing with the initial contact with the principals.  The firm typically assumes a primary role, at the client’s behest, in the information gathering, negotiation, and consummation stages of the transaction.
